Our business and corporate practice covers a broad range of business transactions relating to contracts, entity formation, business acquisition and operation, borrowing and lending, real estate and tax. We provide experienced services for routine transactions and complex legal issues and structures. Our attorneys present creative ideas and custom solutions, with risk assessment, to help clients make informed decisions. Where appropriate, our attorneys consult with trial lawyers to improve the legal position of our clients’ cases. Our business and corporate practice is primarily in the following areas:

  • entity formation, modification and dissolution, with counsel on tax, liability, and control issues for corporations, general and limited partnerships, family limited partnerships, limited liability companies (LLCs), nonprofit corporations, and joint ventures;
  • contract negotiation and documentation for businesses and individuals, including purchase and sale agreements, operating agreements, leases, construction contracts, and employment and termination agreements;
  • evaluation and interpretation of business transactions and contracts, including counsel to start-up companies;
  • representation of banks and lenders, including loan documentation and closing, securing liens on assets, custom financing arrangements, collection, and foreclosure - representative clients include Regions Bank;
  • enforcement of legal rights in business transactions, including mediation, arbitration, and litigation when appropriate; and
  • structuring of succession agreements for businesses, especially family businesses, to plan for future events such as death, retirement, transfer of ownership, or resignation.
